Central Bank Continues Oversight of NBCOs 1

The Central Bank of the Republic of Azerbaijan continues to implement supervisory measures over the activities of non-bank credit organizations (NBCOs) in line with legislative requirements and strategic sector development objectives.

Pursuant to the amendments made to the Law of the Republic of Azerbaijan on Non-Bank Credit Organizations, as well as the strategic objectives outlined in the Central Bank’s Financial Sector Development Strategy for 2024–2026, the Prudential Regulation Rules for the Activities of Non-Bank Credit Organizations were approved by relevant resolutions of the Central Bank’s Management Board.

Under the new regulatory framework, the minimum capital requirement for both existing and newly established NBCOs operating in the form of commercial legal entities has been set at AZN 1 million.

Due to non-compliance with the minimum capital requirement, the Central Bank issued binding directives to Optimal Finance Non-Bank Credit Organization LLC. However, despite the measures taken by the organization during the given period, compliance with the required capital threshold was not achieved.

Taking these circumstances into account, and pursuant to Article 25.1.4 of the Law of the Republic of Azerbaijan on Non-Bank Credit Organizations, the license of Optimal Finance Non-Bank Credit Organization LLC (License No. BKT-37 dated 29 December 2020) was revoked by the decision of the Management Board of the Central Bank dated 17 April 2026 due to failure to comply with the Central Bank’s mandatory instructions regarding the elimination of regulatory violations.

In accordance with Article 25.4 of the Law, an NBCO must cease operations from the date the license revocation decision enters into force and shall be liquidated in accordance with the procedures established by the Civil Code of the Republic of Azerbaijan.

The Central Bank will continue to monitor the activities of non-bank credit organizations on an ongoing basis in line with regulatory requirements and will continue taking the necessary measures as required by legislation.
